Forensic Services

Theft, litigation, contract disputes and economic damages can be costly and stressful for all involved. The feelings of betrayal experienced after a trusted employee commits an embezzlement, the tension when a contract is breached, the fear and uncertainty in reaching an equitable settlement—Lindquist LLP’s forensic team understands both the financial and personal effects of these events.

When a problem is identified, understanding the scope and magnitude of the situation as quickly as possible provides business owners and organizations with the necessary tools to limit the financial and operational impact of misappropriation. We offer an objective third-party evaluation, resulting in a thorough analysis and presentation of findings. In contrast to internal investigations, our outside perspective can be especially beneficial in light of the interconnectedness of organizations, friendships and fear of retaliation. Our services also provide valuable assistance to insurance companies and law enforcement in prosecuting those involved.

Certified Fraud Examiners

Composed of Certified Fraud Examiners, Certified Public Accountants, and individuals Certified in Financial Forensics and Accredited in Business Valuations, our forensic accounting team can help your organization mitigate loss by investigating actual or suspected fraud, irregularities and accusations. Our professionals are trained to uncover and quantify covert fraud and abuse to aid in prosecution and recovery.

We maintain close relationships with the attorneys and clients we serve. The continuing success of those with whom we work is as important to us as the outcome of each engagement.

Business Valuation Services

Estate, Gift and Income Tax

We understand the complexities of estate and gift tax valuation-related issues, especially those concerning closely held businesses. We work closely with attorneys, financial planners and estate planning professionals to assist our clients through all phases of the valuation process, including audits and tax court proceedings. We have practical experience and technical expertise to address complex issues, such as valuation discounts and premiums, built-in gains, and S corporation issues.

Buy-Sell Agreements

A buy-sell agreement can detail the process for one or more owners to acquire the interest of a partner or stockholder who withdraws from the business either willingly or involuntarily (i.e., death or breach of agreement). Often, agreements will detail how a purchase price will be determined or require that a competent appraiser (such as an individual with an ABV designation) determine a conclusion of value. Our professionals can help design the exit-price determination provisions to ensure they are clearly worded and capture the intent of all parties. If existing provisions are in place and a business requires appraisal as a result of buy-sell agreements, we are able to perform business valuation or calculation services to address your appraisal needs.

Marital Dissolution

Despite the emotional challenges that accompany divorce, individuals must understand their options and rights to marital assets, whether they are subject to community property or equitable distribution rules. If a marital estate holds an interest in a closely held business, it is common to have the business or business interest valued to assist in the divorce proceedings. Our professionals are familiar with the various nuances and state-specific valuation-related issues and can help streamline an otherwise difficult process.

Internal Audit Services

Internal audit functions are a valuable tool to help mitigate fraud and misconduct. Our fraud risk management team assists organizations in building sustainable in-house fraud risk assessment processes and procedures and developing anti-fraud programs and controls to protect shareholder interests and to maintain the integrity of financial reporting.
